About
Diviay Chadha is a partner at Singhania & Co. LLP, Solicitors &
Advocates. His practise area focuses on advising corporates on
various legal issues including compliance management, corporate
policies, due diligence, public issues, private equity and contract
management.
He is a member of the prestigious Institute of Company Secretaries
of India (ICSI) since 2004 and also a law graduate. He is also an
associate member of the Insurance Institute of India (III).
In the past he was associated with conglomerates like Capgemini
group, Hero MotoCorp, Great Eastern Energy etc. He has handson experience of handling Public Issues and entity management
including foreign entities.
His overall experience spans to more than 19 years across various
sectors like oil & gas, manufacturing, IT/ITES, service industry etc.
IPOs:
As in-house counsel, he was associated with the Public issues of JHS Svendgaard and Koutons Retail wherein he was part of the core team responsible for successful IPO of the Company. He was involved in all the activities related with the IPO which inter-alia includes finalisation of DRHP, RHP, Prospectus, BSE Fact Sheet, Roadshows, meetings with Regulator, brokers, mutual funds, RTAs etc. He was also associated with Great Eastern Energy for its shifting of GDRs from the AIM Market of the London Stock Exchange to the Main Market of the London Stock Exchange.
Listing Compliances:
Has hands-on experience in SEBI regulations applicable on listed Companies. In the past he was associated with both Indian and London listed entity and is well versed with the listing compliances of both the countries. He was part of the secretarial team of Hero MotoCorp responsible for listing compliances.
Contract Management:
Has hands-on experience in vetting, negotiating and finalization of various contracts like vendor agreements, software licensing agreements, CSR agreements, service agreements etc.
Compliance Management:
He is well versed with the provisions of the Companies Act, 2013, SEBI regulations, Secretarial Standards and has hands-on experience on implementation of compliance tool, managing Board/Committee/Shareholders meeting, preparation of Corporate Policies.
Deals:
IPO: Part of the core team involved in Public Issue of JHS Svendgaard Laboratories, Koutons Retail, Great Eastern Energy Corporation (till RHP)
